Terms of Service
The terms covering this website and, in summary, how our engagements work.
Before launch: have a Kenyan legal adviser review these and align them with your actual client contract template. This is a starting draft, not legal advice.

About these terms
These terms cover use of https://www.trenax.co.ke. Client engagements are governed by the individual contract signed for that project, which takes precedence over anything here if the two ever conflict.
Using this website
You may read, share and reference this site freely. You may not copy its content wholesale, present it as your own, or scrape it at a volume that degrades service for others.
Prices, timelines and figures published here are indicative. They are not offers capable of acceptance, and a binding quotation is always issued separately in writing.
Intellectual property
The design, code and written content of this site belong to Trenax. Client project names and marks shown in the portfolio remain the property of those clients and appear with permission.
For client engagements: on final payment, all intellectual property in the deliverables transfers to you, including source code, design files and documentation. We retain the right to describe the work in our portfolio unless the contract says otherwise.
Project engagements
Work begins on a signed proposal and the first milestone payment. Scope, deliverables, timeline and payment schedule are defined in that document.
Changes to agreed scope are quoted as a written change request and require your approval before work starts.
Timelines assume your feedback and approvals arrive within the agreed windows. Delays in review shift delivery dates correspondingly.
Payment
Invoices are payable within 14 days unless the contract states otherwise. Milestone work does not begin until the preceding milestone is settled.
Third-party costs - hosting, domains, licences, hardware - are billed at cost and, wherever possible, set up in your own accounts so you retain control.
Warranties and liability
We warrant that deliverables will materially conform to the agreed specification for 90 days after launch, and will fix defects within that window at no charge.
We do not warrant uninterrupted or error-free operation of third-party services outside our control, including payment gateways, SMS providers and cloud platforms.
Our total liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profits or lost data, to the extent permitted by Kenyan law.
Confidentiality
We treat your business information as confidential and will sign a mutual NDA on request before any sensitive material is exchanged.
Governing law
These terms are governed by the laws of Kenya. Disputes are subject to the exclusive jurisdiction of the Kenyan courts, after a genuine attempt at resolution between the parties.
